1. Acceptance of Terms

By accessing or using ChMS services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.

These terms apply to all users of the platform, including church administrators, staff members, and any other authorized users.

2. Description of Service

ChMS provides a cloud-based church management platform that includes:

• Member management and database tools
• Contribution and financial tracking
• Communication tools (SMS and email)
• Reporting and analytics
• Multi-branch management capabilities
• Approval workflow systems

We reserve the right to modify, suspend, or discontinue any part of the service at any time.

3. User Accounts & Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Ensuring accurate and complete information
• Complying with all applicable laws and regulations
• Using the service only for lawful purposes
• Not sharing your account with unauthorized users

4. Subscription & Billing

• Subscriptions are billed monthly or annually based on your selected plan
• Payments are due at the beginning of each billing cycle
• Failed payments may result in service suspension
• Refunds are provided on a case-by-case basis
• Price changes will be communicated 30 days in advance
• You may cancel your subscription at any time

5. Data Ownership

• You retain all ownership rights to your data
• ChurchFlow does not claim ownership of any content you upload
• You grant us a limited license to process your data solely to provide the service
• Upon termination, you may export your data within 30 days
• We will delete your data within 90 days of account closure (unless required by law)

6. Acceptable Use

You agree NOT to:

• Use the service for any illegal purpose
• Upload malicious software or harmful content
• Attempt to gain unauthorized access to any systems
• Interfere with or disrupt the service
• Violate any applicable laws or regulations
• Use the service to send spam or unsolicited messages
• Reverse engineer or decompile any part of the service

7. Limitation of Liability

To the maximum extent permitted by law:

• ChMS shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim
• We do not guarantee uninterrupted or error-free service
• We are not responsible for data loss due to user error or third-party actions

8. Indemnification

You agree to indemnify and hold harmless ChMS, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the service or violation of these terms.

9. Termination

• Either party may terminate the agreement at any time
• We may suspend or terminate your account for violations of these terms
• Upon termination, your right to use the service ceases immediately
• Sections relating to intellectual property, limitation of liability, and indemnification survive termination

10. Changes to Terms

We may modify these terms at any time. We will notify you of material changes via email or through the service. Continued use of the service after changes constitutes acceptance of the new terms.

11. Governing Law

These terms shall be governed by and construed in accordance with the laws of Kenya, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Nairobi, Kenya.
